Typically it takes somewhere between 6 to 12 weeks to get a company registered in China – but that’s only an estimate as the actual timeframe can vary wildly depending on the city, industry and how complete your documents are. Certain industries that are heavily regulated may need even more approvals on top of that.

Most industries no longer have a strict statutory minimum amount of capital that you need to inject into your company. But what is required is that the amount of capital you do put in has to be commercially sensible and actually reflects your business plans. A small number of regulated sectors still require a minimum capital threshold to be met.

Yes you do. You’ll need to have a valid commercial lease in place for your WFOE or Joint Venture to be registered. The authorities will be taking a close look at your lease documentation as part of the registration process.

Yes they can. Having a foreigner as the legal representative of a WFOE is perfectly possible under Chinese law and they will be granted a lot of legal authority in this role. Just be aware that it carries significant legal responsibility too.

The standard taxes that your China company will have to pay are Corporate Income Tax and Value-Added Tax. In addition to those you’ll also need to withhold income tax from your employees and make social security contributions.

Yes you do. All companies in China are required to complete annual reporting through the National Enterprise Credit Information Publicity System – and you’ll also need to keep proper accounting records. You’ll also need to pay your taxes on a monthly basis even if you’re not yet trading.

Yes they can – but only if you’ve completed an annual audit, got your tax clearance and are in compliance with foreign exchange regulations. You can then remit dividends once you’ve met all the statutory reserve requirements.
